Terms of Use

By accessing or using the Contextus API, you agree to these Terms of Use in their entirety. Please read carefully before using the service.

01 Acceptance of Terms

These Terms of Use ("Terms") govern access to and use of the Contextus API ("Service"), offered by Contextus, a product of Xyntrix Octa LLC ("we", "our", or "Company"). By registering for, accessing, or using the Service, you ("User" or "Client") represent that you have read, understood, and agreed to these Terms.

If you do not agree with any provision of these Terms, do not use the Service.

02 Service Description

Contextus is a contextual intelligence API that analyzes and classifies URLs in real time, returning information such as content category, subcategory, brand safety verification, sensitive content detection, and classification confidence score.

The Service is provided on a pay-per-use basis according to the current pricing table available at contextus.app/pricing.

03 Registration and API Key

To use the Service, the User must register and receive a valid API Key. The User is solely responsible for:

Keeping their API Key confidential;
All requests made using their API Key, regardless of who makes them;
Immediately notifying Contextus in the event of unauthorized use or suspected compromise of the key.

The API Key is personal and non-transferable. Sharing it with third parties or using it on behalf of another company without prior written authorization from Contextus is strictly prohibited.

04 Permitted Use

The User may use the Service for:

Contextual classification of URLs in their own data pipelines;
Brand safety and sensitive content verification in programmatic media platforms;
Editorial inventory segmentation and analysis;
Integration into BI tools, SEO platforms, ad servers, and content filtering systems;
Any lawful purpose consistent with the nature of the Service.

05 Prohibited Use

The User is expressly prohibited from:

Using the Service for illegal, fraudulent, or third-party rights-violating purposes;
Reverse engineering, decompiling, or attempting to extract the underlying model, algorithms, or database of Contextus;
Reselling, sublicensing, or redistributing the Service or its outputs as a standalone product without prior written authorization;
Making requests in excessive volume with the intent to overload or compromise the Service infrastructure;
Using API outputs to train competing or derivative models without express authorization;
Circumventing authentication mechanisms, usage limits, or security measures of the Service.

06 URL Incorporation into the Database

Please read carefully: This section describes how URLs submitted to the Service are handled and potentially incorporated into our database.

By submitting URLs for classification via API, the User acknowledges and expressly agrees that:

URLs classified by Contextus may be anonymously incorporated into our contextual intelligence base, enriching the score and history available to all platform clients;
Incorporation occurs without association to the identity of the client who submitted the URL;
No personal data, credentials, or proprietary client information is stored alongside the URL;
Collective enrichment of the base improves the quality and accuracy of the Service for all users.

Clients who do not wish to contribute to the database may opt for the Enterprise Plan with a non-sharing clause, available upon request. In this case, processed URLs will not be incorporated into the collective base.

07 Intellectual Property

All content, technology, models, algorithms, databases, methodologies, and interfaces of the Service are the exclusive property of Contextus / Xyntrix Octa LLC and are protected by applicable intellectual property laws.

Use of the Service does not grant the User any ownership rights over Contextus's technological assets, including but not limited to the classified URL base, the classification engine, and the generated scores.

Results returned by the API (categories, scores, classifications) may be used by the User in their own products and services, provided such use does not violate the restrictions in Section 5.

08 Payment and Billing

The Service is charged per volume of processed URLs according to the current pricing table. The User agrees that:

Purchased credits are valid for 12 months from the date of purchase;
No refunds are issued for unused credits within the validity period;
Requests that return a processing error due to a system failure will not be charged;
Requests that return an error due to an invalid or inaccessible URL may be partially charged based on processing performed.

09 Availability and SLA

Contextus uses best efforts to keep the Service continuously available. Starter and Pro plan clients have no formal SLA guarantee.

Enterprise clients have SLAs defined in a specific contract.

Contextus reserves the right to perform scheduled maintenance, providing at least 24 hours' notice whenever possible.

10 Limitation of Liability

The Service is provided "as is" and "as available." Contextus does not warrant that classification results will be complete, accurate, or suitable for any specific purpose.

Contextus shall not be liable for:

Business decisions made based on API results;
Direct, indirect, incidental, or consequential losses arising from use of or inability to use the Service;
Interruptions, failures, or errors beyond the reasonable control of Contextus, including third-party infrastructure failures.

11 Termination

Contextus reserves the right to suspend or terminate User access to the Service at any time and without prior notice in the event of a breach of these Terms.

The User may close their account at any time by ceasing use of the Service. Remaining credits will not be refunded unless otherwise stipulated in a specific contract.

12 Changes to the Terms

Contextus may update these Terms at any time. Material changes will be communicated by email with at least 15 days' notice. Continued use of the Service after the notification period constitutes acceptance of the changes.

13 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Wyoming, and both parties waive any right to a jury trial.

Privacy Policy

This Policy describes how Contextus collects, uses, stores, and protects your data. Drafted in compliance with applicable privacy laws, including the California Consumer Privacy Act (CCPA) and international data protection standards.

01 Who We Are

Contextus, a product of Xyntrix Octa LLC, is the data controller for personal data collected through this platform. We are committed to handling your data with transparency, security, and in compliance with applicable law.

02 Data We Collect

We collect the following categories of data:

Registration data:

Full name;
Email address;
Company name (when applicable);
Billing information (we do not store card data — processed by a PCI DSS-certified gateway).

API usage data:

Request logs (endpoint accessed, timestamp, response code);
Volume of URLs processed per period;
IP address of request origin;
API Key identifier used.

Submitted URL data:

URLs submitted for classification are processed and may be anonymously incorporated into our contextual intelligence base, as described in the Terms of Use (Section 6);
We do not collect personal content from end users of classified pages — only the URL as a public address;
URLs are not associated with the client who submitted them in the collective base.

03 How We Use Your Data

We use your data for the following purposes:

Service delivery: processing your classification requests and returning results;
Account management: authentication, usage control, and billing;
Communications: sending Service updates, usage alerts, and important notices;
Security: detecting abusive use, fraud attempts, and protecting infrastructure;
Service improvement: aggregate analysis of usage patterns to improve models and the platform;
Legal obligations: compliance with court orders or regulatory requirements.

04 Legal Basis for Processing

The processing of your data is based on the following legal grounds:

Contract performance: to deliver the contracted Service;
Legitimate interest: for security, fraud prevention, and Service improvement;
Consent: for marketing communications and URL incorporation into the collective base, where applicable;
Legal obligation: when required by a competent authority.

05 Data Sharing

Contextus does not sell personal data to third parties.

We may share data in the following situations:

Infrastructure providers: hosting, payment processing, and email service providers, acting as processors under contract with confidentiality obligations;
Legal obligation: when required by court order, regulatory authority, or applicable law;
Rights protection: when necessary to protect the rights, property, or safety of Contextus, its clients, or third parties.

06 Data Retention

We retain your data for as long as necessary for the purposes described in this Policy or as required by law:

Registration data: for the duration of the account and up to 5 years after closure, for legal compliance purposes;
API logs: for up to 12 months, for security, audit, and technical support purposes;
Billing data: for the legally required period of 5 years;
URLs in the collective base: anonymously and indefinitely, as they form part of the platform's intelligence asset and are not linked to the client's identity.

07 Data Security

We adopt technical and organizational measures to protect your data, including:

Data transmission via HTTPS/TLS;
Hashed API Keys — we do not store the original value after generation;
Restricted data access based on the principle of least privilege;
Continuous infrastructure monitoring with anomaly detection;
Regular backups with encryption at rest.

In the event of a security incident that may affect your data, we will notify affected parties within 72 hours of becoming aware of the incident, in accordance with applicable regulations.

08 Your Rights

Depending on your jurisdiction, you may have the right to:

Access: know whether we process your data and obtain a copy;
Correction: request correction of incomplete, inaccurate, or outdated data;
Deletion: request erasure of data processed unlawfully or no longer necessary;
Portability: receive your data in a structured, interoperable format;
Withdrawal of consent: where processing is based on consent;
Objection: object to processing based on legitimate interest;
Information on sharing: know with whom your data has been shared.

09 Cookies and Tracking

The contextus.app website uses essential cookies for platform operation (authentication, session preferences). We do not use third-party advertising tracking or behavioral analysis cookies without your consent.

You may manage or block cookies in your browser settings, which may affect some site functionality.

10 International Data Transfers

Your data is primarily processed and stored in the United States. Where international transfers are necessary — such as use of cloud infrastructure services — we ensure that appropriate safeguards are in place in accordance with applicable law.

11 Changes to this Policy

This Policy may be updated periodically. Material changes will be communicated by email with at least 15 days' notice. The "last updated" date at the top of this document will always reflect the current version.

12 Data Protection Officer (DPO)

Contextus has designated a Data Protection Officer as a communication channel between the company, data subjects, and regulatory authorities.
